Foundation; application for a certificate of representation

There is no register with publicity effect for foundations, only a register of foundations kept by the Bavarian State Office for Statistics. However, this register is not comparable to a commercial or association register.

The foundation, which pursues public purposes, can apply to the competent foundation authority for the issue of an official certificate stating the bodies representing the foundation and their members, so-called certificates of representation. In this official certificate of representation, the government, as the foundation authority, confirms that the persons named therein are authorized to represent the foundation. Foundation board members thus have the opportunity to legitimize themselves in legal transactions as the legal representative of the foundation and to prove their power of representation as a member of the foundation's board.

A certificate of representation is required.

• Minutes/record of the resolution on the current composition of the Executive Board
• In the event of a change in the previous foundation board of directors:
• - Resolution of the Board of Directors (election, appointment, dismissal)
• - Minutes of the meeting/session transcript
• - Declaration of acceptance of the elected/appointed
