Unternehmensbeteiligungsgesellschaft (UBG), recognition

Companies that conduct their business in compliance with the Act on Shareholding Companies (UBGG) can be recognised as UBG. The object of the business must be the acquisition, holding, management and sale of venture capital investments.

A written application shall be accompanied by original or publicly certified copies:

• the articles of association or articles of association in the latest version
• the documents on the appointment of the Management Board, the managing directors or general partners and the documents on the appointment of the Supervisory Board
• in the case of an investment company which is to be operated in the legal form of a limited partnership or limited partnership on shares and in which a general partner is a legal person, additionally a document on the appointment of the executive bodies of the legal person
• an excerpt from the commercial register according to the latest status or
• a confirmation from the register court that the registration of the company in the commercial register depends only on recognition as a holding company.

The recognition requirements are regulated in § 16 UBGG.
 

The recognition fee is determined according to the time required for the authority and the economic advantage for the company in a range of 650.00 euros - 3,200.00  euros.
